Terms and Conditions – Scaleup LLC

1. Introduction

Welcome to Scaleup LLC. By accessing or using our website and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our website or services.

2. Services Provided

Scaleup LLC offers digital marketing services including, but not limited to:

  • Social media marketing and content creation
  • Paid advertising campaigns (Meta, Google, etc.)
  • Landing page design
  • Branding and digital consulting
  • Analytics and performance reporting

All services are provided remotely unless otherwise agreed in writing.

3. . Payment Terms

  • Services are billed on a monthly basis unless stated otherwise in a written agreement.
  • All invoices must be paid within 15 days from the date of issue.
  • Late payments may incur a 2% monthly interest fee
  • Work may be paused or terminated for unpaid invoices exceeding 30 days.

4. . Service Cancellation

  • You may cancel your subscription or retainer with 15 days’ written notice before the end of the billing cycle.
  • Scaleup LLC reserves the right to terminate any agreement with 15 days’ notice.
  • No refunds will be issued for work already performed.

5. Intellectual Property

  • All deliverables created by Scaleup LLC remain property of the agency until full payment is received.
  • Upon full payment, ownership of custom content (graphics, copy, designs) is transferred to the client, unless otherwise specified.
  • Scaleup LLC retains the right to display work as portfolio material unless otherwise agreed.

6. Limitation of Liability

Scaleup LLC shall not be held liable for:

  • Loss of profits, data, or revenue
  • Delays due to third-party platform changes (e.g., Instagram algorithm updates)
  • Client misuse of published content or advertising budgets
  • Force majeure events (natural disasters, outages, etc.)

Total liability under any agreement shall not exceed the total fees paid by the client in the previous 60 days.

7. Modifications to Terms

Scaleup LLC reserves the right to update these Terms and Conditions at any time. Any changes will be posted on this page and are effective immediately upon publication. Continued use of our services constitutes your acceptance of the updated terms.

We do not share your mobile data or consent information with third parties for promotional use.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes will be subject to the exclusive jurisdiction of the courts in Sheridan County, WY
